These Terms of Service govern your use of PromptMax, operated by Code4Ads Ltd ("we", "us", or "our"). By accessing or using PromptMax at promptmax.io, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account or using PromptMax, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms of Service in full. If you do not agree, you must not use our service.

2. Description of Service

PromptMax is a batch AI processing platform that allows users to submit CSV files for processing via Google Cloud Vertex AI using Gemini language models. The service operates on a prepaid credit system.

3. Payments and Billing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns regarding payments. By making a purchase, you also agree to Paddle's terms of service and privacy policy.

Credits are added to your account balance upon successful payment confirmation from Paddle. Credits have no cash value and are non-transferable between accounts.

4. Credit Usage

PromptMax operates on a prepaid credit system. Credits are consumed based on the computational resources required to process your batch jobs, including tokens processed by the AI model. We will display an estimated cost before you submit a job where possible. Actual costs may vary based on the complexity and length of your data.

6. Intellectual Property

You retain full ownership of the data you upload to PromptMax. We claim no intellectual property rights over your input files or output results. The PromptMax platform, branding, and software remain the intellectual property of Code4Ads Ltd.

7. Data and Privacy

Your use of PromptMax is also governed by our Privacy Policy. By using our service you consent to the processing of your data as described therein.

8. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. Batch processing times depend on Google Cloud Vertex AI infrastructure and may vary. We are not liable for delays caused by third-party infrastructure providers.

9. Limitation of Liability

PromptMax is provided "as is" without warranties of any kind, express or implied. To the fullest extent permitted by law, Code4Ads Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, loss of profits, or business interruption, arising from your use of or inability to use the service.

Our total liability to you for any claim arising from these terms shall not exceed the amount you paid to us in the 30 days preceding the claim.

10. Account Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate your account at our discretion if you breach these terms. Upon termination, any unused credits will be handled in accordance with our Refund Policy.

11. Changes to Terms

We may update these Terms of Service from time to time. Continued use of PromptMax after changes are posted constitutes your acceptance of the revised terms. We will notify you of material changes by updating the date at the top of this page.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
